Please read these terms carefully before engaging Meres Consult Ltd for any services. By proceeding, you confirm that you have read, understood and agreed to these terms.

1. About Us

Meres Consult Ltd (“we”, “us”, “our”) is a limited company registered in England and Wales. We provide human-centred business growth strategy, AI adoption consultancy and personal growth services.

2. Our Services

We offer the following categories of service:

• Business growth and organisational strategy
• AI adoption strategy and AI-enabled service delivery
• Personal growth and inner alignment coaching (Inner Strategy)

The specific scope of work, deliverables, timelines and fees will be agreed in writing prior to any engagement commencing.

3. Proposals and Agreements

All services are subject to a written proposal or service agreement. Engagement begins once a proposal has been accepted in writing (including by email) and any required payment or deposit has been received.

We reserve the right to decline any engagement at our discretion.

4. Fees and Payment

Fees are set out in your individual proposal or service agreement. Unless otherwise agreed:

• Invoices are payable within 14 days of issue
• A deposit may be required before work commences
• We reserve the right to pause or end work on any engagement where payment is overdue
• All fees are quoted exclusive of VAT where applicable

5. Intellectual Property

All materials, frameworks, tools and methodologies created by Meres Consult Ltd remain our intellectual property unless otherwise agreed in writing. You are granted a licence to use deliverables for your own internal business purposes.

You must not share, resell or reproduce our materials without prior written consent.

6. Confidentiality

We treat all client information as strictly confidential and will not share it with third parties without your permission, except where required by law. We expect the same in return regarding any confidential information we share with you in the course of our work together.

7. Liability

Our liability to you in connection with any engagement is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential or special losses, including loss of profits or business opportunity.

Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

8. Cancellation

Either party may cancel a service engagement with written notice as specified in the relevant service agreement. Where no cancellation terms are specified:

• Cancellations with more than 14 days notice will incur no charge beyond work completed
• Cancellations with less than 14 days notice may incur a cancellation fee of up to 50% of the remaining engagement value

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from our services or these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these terms from time to time. The most current version will always be available at meresconsult.com. Continued use of our services following any update constitutes acceptance of the revised terms.
